Sunset Film Productions is an enterprise engaged in the development and production of motion picture films for theatrical release. The goal is to make films that will entertain, surprise, and delight as well as raise the general consciousness of a mass audience while creating a commercially exploitable product. The Company plans to produce an independent films with budgets of $15-20 million.

 

Investment Opportunity and Financial Highlights

Sunset Film Productions is producing independent films utilizing the American Jobs Creation Act, extended and amended by §181. The Company is seeking investments for the development and production of independent films. The 3:1 tax-write off is accomplished by the equity investor because of full recourse on the debt. All of the receipts of the movie are prioritized to pay down debt, in the forms of: state rebates, presales, gap sales – approximately 70% of the total production costs. All qualifying independent films in production from January 1, 2008 to January 1, 2010 will have this dollar for dollar effect on passive income. The structure of the revenue return on both equity and debt positions are outlined in the business plan attachments.

 


Example of the application of § 181 3:1 tax write off
Company X has a total budget of three dollars ($3) for their film.
One dollar ($1) is raised as an equity investment; two dollars ($2) is borrowed (debt).
When Company X spends one dollar ($1) or more on real production costs in 2008, then they can deduct one dollar ($1) or more, dollar for dollar against passive income in 2008.
When two dollars ($2) of borrowed costs are spent on 2009 production costs then the two dollars ($2) spent can be deducted from passive income in 2009.

The Industry
The future for lower budget independent films continues to look impressive, as their commercial viability has increased steadily over the past decade. Recent films such as Napoleon Dynamite, March of the Penguins, and My Big Fat Greek Wedding are evidence of the strength of this market segment. The independent market as a whole has expanded dramatically in the past 15 years, while the total domestic box office has increased 80 percent. Of the five films nominated for Best Picture Oscar in 2005, four were independent films. In 2006, of the five Best Picture nominees, three were co-produced with major studios. The one of the five nominees in 2007, Juno, an independent film had a total domestic gross of $143.5 million.


The Market
The film has a similar fictional reference as: Oliver Stone’s, W, a chronicle on the life and presidency of George W. Bush, Martin Scorsese's GoodFellas Henry Hill and his friends work their way up through the mob hierarchy, Alan Pakula's All The President's Men Reporters Woodward and Bernstein uncover the details of the Watergate scandal that leads to President Nixon's resignation.
